Terms of Service

These Terms of Service ("Terms") govern your access to and use of the Skyspace marketing site at https://skyspace.openmatter.co, including joining our waitlist and reserving a Skyspace handle (together, the "Service"). The Service is offered by Openmatter ("Openmatter, " "we," "us," or "our"). By accessing the Service, you agree to these Terms. If you do not agree, do not use the Service.
1. The Service today
Skyspace is a pre-launch product. The Service currently consists of marketing pages and a waitlist that lets you express interest and reserve a handle for the future Skyspace product. No storage, marketplace, or delivery features are live yet, and joining the waitlist does not create a paid or contractual relationship beyond what is described in these Terms.
2. Eligibility
You must be at least 16 years old to use the Service and to reserve a handle. By using the Service you represent that you meet this age requirement and that the information you provide is accurate, current, and complete. If you are using the Service on behalf of an organization, you represent that you are authorized to bind that organization to these Terms.
3. Handle reservations
When you join the waitlist, you may reserve a Skyspace handle. The following rules apply to every reservation:
- A reservation is a non-transferable expression of interest, not a purchase, sale, or guaranteed right to the handle.
- Each email address may hold one reservation. Creating multiple reservations, using disposable emails, or otherwise gaming the waitlist is prohibited.
- Handles that impersonate another person or brand, infringe third-party rights (including trademarks), are unlawful, or are obscene, hateful, or deceptive may be rejected or revoked without notice.
- We may reclaim or reassign reserved handles if (a) the reservation is inactive for an extended period after we notify you of launch, (b) the handle is needed for a verified rights-holder, (c) the reservation violates these Terms, or (d) we reasonably determine reassignment is necessary to protect users or Openmatter.
- We may change handle formats, length limits, or availability rules at any time before launch.
4. Your account information
You are responsible for keeping the information you provide accurate and up to date, and for protecting the email account you used to join the waitlist. You must notify us promptly if you believe your reservation has been compromised.
5. Acceptable use
You agree not to:
- Use the Service in any way that violates applicable law.
- Attempt to probe, scan, or test the vulnerability of the Service, breach security or authentication measures, or access data not intended for you.
- Interfere with or disrupt the Service, its infrastructure, or other users' use of it, including through denial-of-service or excessive automated requests.
- Scrape, harvest, or otherwise collect information from the Service except as expressly permitted.
- Reverse engineer, decompile, or attempt to derive the source code of the Service, except to the extent permitted by law.
- Submit content that is unlawful, infringing, harassing, hateful, or that impersonates any person or entity.
- Use the Service to distribute spam, malware, or other harmful content.
6. Intellectual property
The Service, including its design, text, graphics, logos, product names (including "Skyspace" and "Openmatter"), software, and the selection and arrangement thereof, is owned by Openmatter or its licensors and is protected by intellectual property laws. We grant you a limited, revocable, non-exclusive, non-transferable license to access and use the Service for personal, non-commercial purposes, subject to these Terms. All rights not expressly granted are reserved.
7. Feedback
If you send us feedback, ideas, or suggestions about Skyspace, you grant Openmatter a worldwide, royalty-free, perpetual, irrevocable, sublicensable license to use them without restriction or compensation to you. You remain free to use your own ideas as you wish.
8. Third-party links
The Service may contain links to third-party sites or services. We do not control and are not responsible for those third parties, and linking does not imply endorsement. Your use of third-party services is governed by their own terms and privacy policies.
9. Privacy
Our Privacy Policy explains how we collect, use, and share information about you. By using the Service you acknowledge and agree to our Privacy Policy.
10. Text messages (SMS)
By providing your phone number, you agree to receive text messages from Skyspace. Message frequency varies. Message and data rates may apply. Reply HELP for help or STOP to cancel. View our Privacy Policy and Terms of Service.
11. Disclaimers
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND ANY WARRANTIES ARISING OUT OF COURSE OF DEALING OR USAGE OF TRADE. Openmatter DOES NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE, OR THAT ANY RESERVED HANDLE WILL REMAIN AVAILABLE AT LAUNCH.
12. Limitation of liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, OPENMATTER AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF THE SERVICE, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. OUR TOTAL LIABILITY FOR ANY CLAIMS ARISING FROM OR RELATED TO THESE TERMS OR THE SERVICE WILL NOT EXCEED ONE HUNDRED U.S. DOLLARS (US$100). SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OR LIMITATION OF CERTAIN DAMAGES, SO SOME OF THE ABOVE LIMITATIONS MAY NOT APPLY TO YOU.
13. Indemnification
You agree to defend, indemnify, and hold harmless Openmatterand its affiliates from and against any claims, damages, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or related to your use of the Service, your content, or your breach of these Terms.
14. Termination
We may suspend or terminate your access to the Service, remove or reclaim your reservation, and close your waitlist entry at any time and for any reason, including if we reasonably believe you have violated these Terms. You may stop using the Service at any time by asking us to delete your reservation (see the Privacy Policy for details). Sections that by their nature should survive termination will survive, including Sections 6, 7, 11, 12, 13, 15, and 16.
15. Changes to the Terms
We may update these Terms from time to time. If we make material changes, we will provide reasonable notice by updating the "Last updated" date above and, where appropriate, by email. Your continued use of the Service after changes become effective constitutes acceptance of the updated Terms.
16. Governing law and disputes
These Terms are governed by the laws of the State of Delaware, United States, without regard to its conflict-of-laws rules. Any dispute arising from or relating to these Terms or the Service will be resolved exclusively in the state or federal courts located in Delaware, and you consent to the personal jurisdiction of those courts. Nothing in this section prevents either party from seeking injunctive relief for the infringement of its intellectual property rights in any competent court. If you are a consumer in the EEA or UK, you retain the benefit of any mandatory consumer-protection laws of your country of residence.
17. Miscellaneous
These Terms, together with the Privacy Policy, are the entire agreement between you and Openmatter regarding the Service. If any provision is held unenforceable, the remaining provisions will remain in full force and effect. Our failure to enforce any right or provision is not a waiver. You may not assign these Terms without our prior written consent; we may assign them freely. These Terms do not create any agency, partnership, joint venture, or employment relationship.
